The Civil Code of the Russian Federation (CC) and the Federal Law "On Limited Liability Companies" (FZ) contain peremptory and discretionary rules that determine the rules governing the activities of companies.

The peremptory norms cannot be changed by agreement between the participants of the company and are valid regardless of whether they are contained in the charter of this company or not.

Dispositive norms, on the contrary, apply only insofar as the participants in the company have not come to another agreement and have not indicated the variants of dispositive rules they have chosen in the charter of their society.

The charter may amend, supplement, permit (provide) or prohibit (restrict) the actions and rules contained in these standards.
